X-FAB Silicon Foundries SE (Euronext Paris: XFAB) has finalized the acquisition of M-MOS Semiconductor Hong Kong Limited, a fabless semiconductor player specializing in MOSFET technologies. The acquisition, valued at EUR 22.5 million, marks a significant step for X-FAB’s expansion into the realms of MOSFET development and custom device design.
The transaction, governed by the Belgian Code on Companies and Associations, required meticulous scrutiny due to the relationship between X-FAB and Xtrion NV, the sole seller of M-MOS shares. Pursuant to Article 7:97 BCAC, the board of directors of X-FAB followed a rigorous evaluation process involving independent directors to assess the terms and conditions of the acquisition. Following thorough deliberation, the board approved the Transaction and the signing of the Share Transfer Agreement.
M-MOS Semiconductor specializes in designing custom MOSFET devices and is recognized for its sales of MOSFET wafers across industrial, consumer, and automotive markets. Their 2022 revenues totaled USD 32.0 million, indicating a robust market presence and potential synergies for X-FAB.
Rudi De Winter, CEO of X-FAB group, highlighted the historical progression of X-FAB’s discrete devices business and expressed optimism about the synergy between X-FAB’s technological expertise and M-MOS’s market insights. He stated, “I am convinced that the process and product design know-how but also the market know-how of M-MOS will help to accelerate X FAB’s discrete business development going forward.”
